Terms of Service for ReFrame (Beta)

1. Acceptance of Terms & Beta Status Welcome to ReFrame! These Terms of Service ("Terms") govern your access to and use of the ReFrame website, mobile application, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy.

Beta Disclaimer: You acknowledge that ReFrame is currently in a "Beta" testing phase. The Service is provided on an "AS-IS" and "AS-AVAILABLE" basis. This means the app may contain bugs, experience unexpected downtime, or undergo significant feature changes without prior notice. We do not guarantee that your practice history, reflections, or account data will be permanently retained during this phase.

Modifications to the Service and Pricing ReFrame is currently provided free of charge during our Beta phase. However, we reserve the right to modify or discontinue, temporarily or permanently, the Service (or any part of it) with or without notice. We also reserve the right to introduce subscription fees or other pricing models for the Service in the future. If we introduce fees, we will provide you with advance notice, and you will have the option to continue using the Service by agreeing to the new pricing terms or to terminate your account.

2. The Nature of Our AI (No Professional Advice) ReFrame utilizes generative Artificial Intelligence (powered by third-party providers like OpenAI) to provide professional coaching, reflection pathways, and scenario generation. By using ReFrame, you understand and agree to the following:

• Not Professional Advice: The Service is for educational, personal growth, and practice purposes only. It is not a substitute for certified human resources (HR) guidance, legal counsel, mental health treatment, or professional medical advice.

• AI Limitations & "Hallucinations": Generative AI is a probabilistic technology. It may occasionally produce outputs that are inaccurate, biased, incomplete, or entirely fabricated (often called "hallucinations").

• User Responsibility: You are solely responsible for independently verifying the accuracy and appropriateness of any coaching or feedback ReFrame provides before applying it in your actual workplace.

• No Real-World Liability: ReFrame and its creators are not liable for any real-world outcomes resulting from your use of the Service, including but not limited to workplace disputes, disciplinary actions, loss of employment, or failed negotiations.

3. Accounts & Eligibility

• Age Limit: You must be at least 18 years old to use ReFrame. By using the Service, you represent and warrant that you meet this requirement.

• Security: You are responsible for safeguarding your login credentials (including your Google OAuth access). You agree to notify us immediately of any unauthorized use of your account.

4. Acceptable Use & Conduct To ensure a safe environment for all users and comply with our AI providers' policies, you agree not to use the Service to:

• Submit highly sensitive, legally protected, or classified information (e.g., social security numbers, HIPAA-protected health data, or strict corporate trade secrets).

• Include the real, full names of colleagues, managers, clients, or specific companies in a manner that constitutes harassment, defamation, or doxxing.

• Generate hate speech, explicit content, or content that promotes violence or illegal acts.

• Attempt to "jailbreak," reverse-engineer, or manipulate the underlying AI models or ReFrame infrastructure.

5. Intellectual Property & User Content

• Your Content: You retain ownership of the input (text/voice) you provide to ReFrame and the specific outputs generated for you. You grant ReFrame a worldwide, royalty-free license to host, process, and display this content solely to operate, maintain, and improve the Service.

• ReFrame IP: ReFrame owns all rights, title, and interest in the platform itself, including the underlying code, UI/UX, methodologies (e.g., Pathway A, B and C structures), logos, and branding.

6. Disclaimers & Limitation of Liability TO THE FULLEST EXTENT PERMITTED BY LAW, REFRAME AND ITS AFFILIATES DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

IN NO EVENT SHALL REFRAME BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO USE THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

7. Indemnification You agree to indemnify and hold harmless ReFrame, its developers, and affiliates from any claims, damages, losses, or legal fees arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

8. Dispute Resolution, Arbitration, & Governing Law

• Governing Law: These Terms shall be governed by the laws of the State of Texas, without regard to its conflict of law principles.

• Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach thereof shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Travis County, Texas.

• Class Action Waiver: YOU AGREE THAT YOU MAY BRING CLAIMS AGAINST REFRAME ONLY IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

9. Termination We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, at any time, and without notice or liability, for any reason, including if we believe you have violated these Terms.
